Shareholder Monitoring with Strategic Investors
نویسنده
چکیده
This paper provides a generalization of the theory of shareholder monitoring, originally developed by Admati, Pfleiderer, and Zechner (1994). An activist shareholder can trade with a finite number of strategic passive investors. If there are only a few investors, then their strategic behavior leads to an allocation of shares that increases the activist investor’s incentive to monitor, which is socially desirable. This is because they take into account the effect of their purchases on the incentives of the large shareholder, so they buy fewer shares. On the other hand, a large number of investors leads to free-riding and less monitoring. In the limit, as the number of investors grows to infinity, a similar equilibrium as in Admati, Pfleiderer, and Zechner (1994) emerges. The model formalizes the idea that a financial market with a small number of shareholders provides stronger incentives for shareholder monitoring. The prediction is consistent with empirical findings which show that in countries where monitoring is important, e.g. because of weak legal protection of investors, shareholder concentration is high and stock market participation is low. ∗Vienna Graduate School of Finance, [email protected]. The Threat of Shareholder Intervention and Firm Innovation∗
This research demonstrates that the threat of shareholder intervention negatively affects firm manager innovation incentive. The underlying mechanism is that innovation may cause stock price to reflect less accurate information about a firm’s fundamental value, which makes firm managers vulnerable to shareholder intervention. Firm managers under the threat of shareholder intervention will be bi...
متن کاملInvestors’ Perceptions of Activism via Voting: Evidence from Contentious Shareholder Meetings
We define annual shareholder meetings as contentious if a significant fraction of shareholders are expected to vote against management’s recommendation on one or more of the items on the ballot, a signal that shareholders are increasing their monitoring activity. Using a sample of almost 28,000 meetings between 2003 and 2012, we examine stock returns over the period between the proxy filing and...

This study shows that individual investors prefer to invest in high dividend yield stocks and in dividendpaying firms whereas relatively lower-taxed institutional investors tend to prefer low dividend yield stocks and non-paying firms. متن کاملInvestor Horizons and Corporate Policies
This paper looks at the effect of shareholder horizon on corporate behavior. In perfect capital markets, corporate behavior should be insensitive to shareholder horizon, but when investment opportunities are not well valued by the market, shareholder horizon matters. We first present a simple framework to show that shareholder horizon should be looked at in conjunction with stock misvaluation. ...
متن کاملPayoff complementarities and financial fragility Evidence from mutual fund outflows
The paper provides empirical evidence that strategic complementarities among investors generate fragility in financial markets. Analyzing mutual fund data, we find that, consistent with a theoretical model, funds with illiquid assets (where complementarities are stronger) exhibit stronger sensitivity of outflows to bad past performance than funds with liquid assets. We also find that this patte...
